Job Description

Our client, Alteo Group, is currently looking for a dynamic and enthusiastic candidate with a detail-oriented mindset and excellent communication skills for the position of Company Secretary.

This role will be based at the head office and will report into Alteo Group’s Chief Finance Executive.

Main duties and responsibilities

  • Responsible for providing company secretarial services to Alteo Limited and selected existing and new subsidiaries, as well as Miwa Sugar Limited under a Service Level Agreement.
  • Convene and service Board and Committee meetings and Annual General Meetings (including, amongst others, producing agendas; preparation of board packs and their prompt circulation; taking minutes; conveying decisions and action points; managing timely preparation of minutes).
  • Provide advice (financial and/or strategic) during and outside of meetings.
  • Provide the Board of Directors and individual directors with advice and guidance as to their duties and responsibilities.
  • Ensure that companies under her/his responsibility comply with financial and legal requirements and maintain high standards of corporate governance.
  • Assist in the strategic dimension of corporate regulatory compliance and governance matters.
  • Take an active role and provide valuable input to the management decisions relating to share issues, mergers, and takeovers.
  • Provide ad hoc company secretarial assistance on strategic projects.
  • Ensure that all necessary returns are made with the Registrar of Companies, FSC, SEM and other authorities.
  • Maintain statutory books, including registers of members, directors, secretaries and shareholders, where applicable.
  • Handle correspondence, collate information, write reports and communicate decisions to relevant stakeholders.
  • Liaise with external regulators and advisers such as lawyers and auditors.

Profile

    • Bachelor’s degree in accountancy and finance, business and management, law or any related discipline.
    • Chartered Secretary/ICSA qualified with at least 8 to 10 years’ experience, 5 of which at a senior level.
    • Good verbal and written communication skills.
    • Commercial awareness.
    • Meticulous attention to detail and the ability to work well under pressure and to deadlines.
    • Interpersonal skills and the ability to work with people at all levels.
    • Influencing skills.
    • Excellent organisational and time management skills
    • An ability to take initiative.
    • A flexible and practical approach to work.
    • Discretion when handling confidential information.
